Bio

For over thirty years, Reed has practiced law in the San Francisco Bay Area, focusing on general business and corporate law, business litigation, estate planning and probate. In his practice, Reed has advised businesses from sole proprietorships to publicly traded companies. Reed’s work has included business entity choice and formation, funding, governance, mergers and acquisitions, employment issues, and the purchase and sale of business interests. Reed has negotiated and prepared a wide variety of commercial agreements from simple leases to complex technology licenses, sales agreements, distribution agreements, mergers and acquisitions documentation, and entity funding documentation. His litigation experience includes employment related claims, collection matters, general contract claims and copyright and trademark infringement cases.
In his role as general counsel to clients, Reed advises Boards of Directors on governance matters, potential and pending litigation, and the selection and oversight of specialized counsel where appropriate. Reed has had extensive experience dealing with business turnaround situations and negotiating with the creditors of such businesses.
Reed’s philosophy as a lawyer is to keep first in mind the client’s business or personal objective while still providing the legal expertise and guidance that gives the client the protection he or she needs.
